Reporting to the Company Secretary, you will be working with the General Counsel ANZ and Company Secretary to support the effectiveness of the Zip Co Limited Board and the boards of a number of Australian and international subsidiaries.
Interesting problems you’ll get to solve:
- Company Secretariat
- Support the effective day-to-day delivery of secretariat services for the Board and Board Committees, including assisting in the preparation of draft agendas, Secretariat-related Board papers, and resolutions.
- Implementing processes to support adherence to timelines for preparation and circulation of Board and Board Committee papers, and timely completion of actions.
- Attending, and taking minutes of, internal governance forum meetings as required from time to time.
- Assisting with drafting and preparation of ASX forms and announcements and lodgements on ASX.
- Managing internal registers and other corporate records.
- Subsidiary Governance
- The Group has a number of subsidiaries incorporated in Australia and New Zealand, as well as in the US and other international jurisdictions.
- Managing board processes for subsidiaries, including preparation of agendas and minutes, and co-ordination of meeting materials, and preparation of circular resolutions.
- Managing member’s meetings (where required) and preparing member resolutions.
- Understanding and ensuring the subsidiaries comply with statutory obligations, ensuring requirements of ASIC (and other regulators in relevant jurisdictions) are met, including timely and accurate notifications to regulators.
- Advising the subsidiary Boards and management on best practice in governance matters, including procuring advice on legal and regulatory requirements in offshore jurisdictions (as required).
- Ensuring necessary registers are established and maintained, and managing robust corporate record-keeping practices in compliance with regulatory requirements.
- Supporting global corporate simplification initiatives relating to Group subsidiaries, including closure of subsidiaries.
- Organising and delivering subsidiary Board member onboarding, education and professional development (as required).
What you'll bring to the team
- Minimum of 6-8 years’ governance experience in a regulated, preferably ASX-listed, environment.
- Legal qualifications preferred; corporate governance qualification will be highly regarded.
- Deep understanding of governance principles and practices and corporate compliance.
- Ability to engage effectively and efficiently with external counsel in international jurisdictions.
- Strong interpersonal skills and comfortable engaging authoritatively at Board and senior business stakeholder level.
